Mr. Clayton is a member of the Firm's Corporate, Securities Practice Group.  His legal expertise includes mergers and acquisitions, corporate finance and general corporate matters.  He counsels clients on issues relating to:

• Purchase and sale of businesses and assets;
• Public and private securities offerings;
• Venture capital investments;
• Formation and capitalization of business entities;
• Executive employment agreements;
• Stock option and other equity compensation plans;
• Adoption of anti-takeover defenses, including "poison pills";
• SEC reporting and compliance issues.

 In addition to his years of experience as an attorney, Mr. Clayton brings a unique perspective to his corporate practice.  First, he became a Certified Public Accountant in 1998 and second, he understands business from an insider's point of view.  Mr. Clayton has served on the Board of Directors of a Texas corporation and was Vice President of an ambitious online legal services start-up company.
