| Bob Fulton brings 25 years of experience to Stradley Ronon's securities practice. Mr. Fulton's practice focuses on all aspects of the business, operations, and regulation of mutual funds and the responsibilities of their boards of directors. Some of the matters on which Mr. Fulton has assisted clients include: - structuring and negotiating acquisitions and dispositions of registered investment advisers and broker-dealers, including transactions by banks and insurance companies;
- managing a closed-end mutual fund's successful response to an institutional stockholder proposal for restructuring;
- organizing an innovative master/feeder complex of funds offering a "bonus" share class and a death benefit protecting the estates of investors from investment losses. This project involved complex tax, accounting and securities law issues, and advocacy of the permissibility of controversial features in discussions with the SEC and IRS;
- advising state and municipal pension funds in connection with investment management and custody activities, including domestic and global securities lending programs;
- advising banks, mutual funds and investment advisers in connection with regulatory inquiries and proceedings; and
- structuring and negotiating the sale of a mutual fund administrative services organization.
