Laura advises clients on a variety of business and transactional matters, and specializes in intellectual property, securities and commercial lending.  She advises businesses on choosing and registering trademarks, guarding against trademark infringement, trademark licensing, software licensing, copyright registration and other intellectual property issues.  She has also represented publicly-held companies in the initial registration of securities and ongoing compliance with federal and state securities laws, with a particular focus on compliance with the Sarbanes-Oxley Act of 2002.  She assists banks and businesses in commercial lending and real estate matters, including preparing loan documentation and perfecting security interests in collateral.  Laura also represents clients in business acquisitions and sales, and forms new business entities.
