Law Practice David Toyoda practices in the corporate and securities law area, focusing on technology and biotechnology companies that list on Canadian stock exchanges. In addition, David has participated in international securities transactions, including cross-border financings, and established U.S. markets for Canadian public companies. In the corporate finance area, David has assisted companies in many types of transactions including initial and subsequent public offerings, inter-listing on stock exchanges, private placements of both debt and equity securities and venture capital financings. Once a company is listed on a stock exchange, David has advised companies with respect to reverse take-overs, change of businesses and reactivations, share purchase agreements and asset acquisitions. Professional and Other Activities David coordinates a course and teaches in the areas of corporate governance and public financing at Simon Fraser University, Faculty of Business Administration and the TSX Venture Exchange in Calgary and Toronto. He has also coordinated courses for the Continuing Legal Education Society of British Columbia. He is the Past Chair of the Securities Law Subsection of the Canadian Bar Association (B.C. Branch) and was a member of the Securities Law Advisory Committee for the B.C. Securities Commission. He has been appointed to ad hoc committees formed by the TSX Venture Exchange on policy issues, the B.C. Securities Commission on Real Estate Securities and the Ministry of Competition, Science and Enterprise on Venture Capital Companies. David is also a member of the selection committee for the Venture All Stars, a Washington based competition looking for the best private companies in B.C., Washington and Oregon. |
