Gregg J. Lallier is a principal resident in the New Haven office of the Firm. As a member of the Firm's Venture Capital & Emerging Companies, Intellectual Property, Business Law and Commercial Lending practice groups, Mr. Lallier provides assistance to clients at all stages of business development. His advice extends to incorporation and entity formation, stockholder and member agreements, stock warrants, stock issuances, board, shareholder and member meetings and consents. He provides guidance and drafts agreements and documents for asset purchases and stock purchases; licensing of technology, copyrights, trademarks and patents; non-disclosure and non-competition agreements; organization and the conducting of debt and equity issuances; development of employment policies; protection of assets, including intellectual property assets; and the negotiation of mergers, acquisitions and joint ventures.
Mr. Lallier has a strong interest in the high technology fields. The scope of his services encompasses copyright, trademark and patent advice and further extends to intellectual property licensing, acquisition, maintenance and litigation. He assists technology-driven enterprises in the coordination and development of an integrated business strategy. This assistance extends to counseling regarding the internal and external business policies, strategies and goals as such relate to federal, state and local laws as well as the general market environment. Mr. Lallier has experience drafting trademark, copyright and patent purchase agreements, content licenses for Internet web sites; software licenses; web site services agreements; and assessing and identifying intellectual property assets.
As a member of the Firm's Commercial Lending & Banking Law practice group, Mr. Lallier has experience in the transactional representation of banks and financial institutions. He has represented lead and participant lenders in syndications, participations and other multiple lender loan transactions. Mr. Lallier has experience in drafting, reviewing and negotiating various loan agreements including such involving revolving lines of credit, term loans, letters of credit and mortgages. Furthermore, his business background and degree has aided in his successful interpretation of loan facilities, especially, in the drafting of financial and negative covenants.
Mr. Lallier received his J.D. from the Emory University School of Law in Atlanta, Georgia, and his B.S., magna cum laude, from Boston College in Chestnut Hill, Massachusetts.
