| Michelle Taylor is the firm's Head of Compliance and Corporate Governance. She has 20 years' corporate governance and company secretarial experience. She acts as Group Company Secretary for Dimension Data Holdings plc which includes 100 companies worldwide. In addition, Routledge Modise has been appointed as Company Secretary for Italtile Limited and Eland Platinum Holdings Limited. She is also acting as Company Secretary for 40 non-listed companies and is the Corporate Governance advisor to various other companies. She has extensive knowledge of the Second Report of the King Commission on Corporate Governance, the UK Combined Code on Corporate Governance, the Companies Act and the JSE and LSE Listing Requirements. Some of the significant transactions in which Michelle has been involved: Listing of Dimension Data Holdings plc on the London Stock Exchange and Johannesburg Stock Exchange. The transaction value was ZAR53.2 billion. Subscription by VenFin Limited of a US$100 million seven year unsecured convertible bond issued by Dimension Data. Acquisition by Dimension Data of the businesses constituting Comparex Networks, a leading European networking business, from Comparex Holdings Limited. The transaction value was US$2.3 billion. Acquisition by Dimension Data of the Nedcor interests in Dimension Data's non-South African subsidiaries. The transaction value was ZAR8.696 million. Acquisition by SAB Miller (through its wholly owned subsidiary, Other Beverage Interests (Pty) Ltd) of the remaining 26.5% of the entire issued share capital of Amalgamated Beverage Industries Limited ("ABI") from the minority ABI shareholders. The transaction value was ZAR3.7 billion. Circular to shareholders for the approval of new long-term incentive schemes for the Dimension Data Group, this includes the finalisation of the rules of new schemes. Approval of a new long term incentive scheme for a state enterprise company. Finalisation and approvals of long-term incentive schemes for various companies both listed and non-listed. The Barplats BEE transaction, the circular related thereto and the requisite shareholder approval.
