Representative Work- Mr. Morrice represents financial and strategic buyers, investment groups, management groups, individual and corporate owners, and family groups to structure and consummate stock sales, asset sales, mergers, spin-offs, leveraged recapitalizations, partnership and other redemptions and joint ventures; transaction sizes have ranged from over $250M to relatively small transactions in the medical, manufacturing, construction and distribution industries and have involved private equity, strategic buyers and venture capital.
- Served as counsel and negotiated formation of numerous medical care provider joint ventures coordinating regulatory compliance in connection with fraud and abuse considerations and other regulatory requirements; most recently, a 6-room multispecialty ambulatory surgery center jointly owned by a regional hospital and 20+ physicians.
- Represented textile manufacturer in a reverse subsidiary merger with $60 million + purchase price.
- Represented closely-held movie theater company in $125+ million disposition of 25 theaters in four-state area to publicly-traded acquirer.
- Represented family-owned retail chain in sale of 80+ locations to publicly-traded acquirer.
- Represented acquirer in a multi-million dollar international acquisition of assets and subsidiary corporations in USA, Germany, England, Brazil and Mexico.
