Representative Work- Extensive work with healthcare providers in designing models for physician ownership of medical office buildings to include use of LLCs, Master Limited Partnerships, General Partnerships and TICs and insuring compliance with Stark and Fraud and Abuse Statutes.
- Represented regional healthcare provider in sale/lease back of five multi-story medical office buildings comprised of over 650K square feet with an overall transaction value of $125+ Million.
- Represented local textile company in a reverse subsidiary merger with $30+ Million purchase price.
- Successfully represented large physician group in eastern North Carolina in OIG overbilling investigation, which resulted in repayment of principal only with no interest or penalty by using voluntary compliance procedures.
- Established joint venture for free-standing ambulatory surgery center owned and operated by a non-profit hospital and multi-disciplinary physician group.
- Merger of two hospital systems to include favorable rulings by IRS and N.C. Department of Insurance.
- Represented large Trade Association in obtaining favorable IRS Ruling with respect to creation of wholly owned subsidiary in order to avoid UBIT.
