As with most commercial lawyers, my practice includes real property transactions, secured lending, contract negotiation and general corporate law. In addition, from 1991 through 1999, my practice was focused primarily on representing a publicly held NYSE listed corporation. In that capacity, my practice included the listing of securities on the NYSE and the Nasdaq National Market, the registration of securities on Forms S-1, S-3, S-4 and S-8; the preparation of Forms 10-Q, 10-K and 8-K; and the preparation of annual proxy materials. My experience also includes the formation of state-charted banks and bank holding companies, bank holding company reorganizations, and (prior to the current relaxation of interstate branching restrictions) the interstate migration of a national bank.

Today, my practice is focused on the representation of numerous closely held businesses, as well as publicly held corporations. I act as general counsel for various closely held entities, and two quasi-governmental sewer districts. My practice has expanded to the negotiation of technology agreements, representing a locally headquartered corporation in the negotiation of equipment and service agreements with various nation-wide service providers.
