For over 8 years, Mr. Fernando Cuesta has been involved in the practice of corporate law and has assisted clients in structuring domestic companies, foreign owned subsidiaries (of public and private corporate shareholders), and joint ventures (including special purpose entities).
His expertise includes assistance in forming any type of entity, preparing material corporate documents and agreements, obtaining relevant legal documents necessary to operate, acting as general corporate counsel, transforming a company into a different type, as well as merging or acquiring the stock or the assets and rights of existing companies depending on the benefits and risks involved, as well as on the business strategy of the client.
In this regard, he has coordinated due diligence processes and determined the legal situation of companies including the contingencies involved on all relevant legal aspects of an entity due to its situation, its compliance with applicable laws, and its operations.
He has participated on the due diligence and issuance of legal opinions for the issuance of title insurance by a renowned and duly authorized title insurance company in Mexico.
Mr. Cuesta has vast experience in structuring, negotiating, and documenting a broad range of international business transactions.
He participates as counsel on cross-border deals including sales, distribution, agency, IP licensing, franchising, and secured financing.
He works with colleagues of other areas of expertise within the firm as well as with the client's foreign counsel or our Meritas' affiliates around the world to provide comprehensive assistance through completion.
