Daniel E. Cohn, who joined the firm in 1985, maintains a diverse practice in corporate, wine, employment, franchise and intellectual property law. Mr. Cohn became a partner of the firm in 1991 and is currently a member of the Strategic Advisory Board.
Mr. Cohn acts as regular corporate counsel for several of the firm?s business clients, including The Chalone Wine Group, Ltd., Golden State Vintners, Inc., Round Table Franchise Corporation, Super Store Industries, and Swig Investment Company. He also represents prominent Europe and Japan-based investors in numerous corporate investments and acquisitions in the United States. He has substantial experience with both structuring closely held corporations and negotiating and documenting shareholder buyouts in closely held corporations.
Mr. Cohn is a founder of the firm?s Wine Country Office, located in St. Helena, CA. In the wine industry, he has an active M&A practice. He has represented Constellation in its acquisition of Ravenswood; the MacIver Family in its sale of Matanzas Creek; Chalone in connection with the negotiation of its Edna Valley joint venture and its acquisitions of the Staton Hills Winery and the Beaucanon Winery; and Paterno Imports in its acquisitions of Rutherford Hill, Chimney Rock, and Alderbrook Wineries. He has also represented Gary Andrus in the recapitalization of Pine Ridge Winery; Cliff Lede in his acquisition of S. Anderson; Less Rudd in his acquisition of Girard Winery; Robert Mondavi Winery in connection with its IPO, and its acquisition of Arrowood Winery; JeanJean SA in its acquisition of Cannon Wines Limited; and Golden State Vintners in both its acquisition and subsequent disposition of The Napa Cooperative Winery. He has completed numerous grape purchase contracts, vineyard leases and other transactions. He has negotiated executive employment agreements on behalf of Franciscan, Chalone, Mondavi and Golden State Vintners. He also regularly represents entrepreneurs in the Wine Country.
