Dominic DiPuccio's practice focuses on mergers and acquisitions, private equity and debt financings, public offerings and public company regulatory compliance. He represents entrepreneurs, emerging-growth and seasoned companies (public and private), as well as private investors, venture capital and other private equity funds, and investment banking firms in a wide variety of corporate finance transactions. Mr. DiPuccio has counseled buyers and sellers on all aspects of the merger and acquisition process, including due diligence, letters of intent, deal structures, pricing alternatives, negotiations, documentation, and closings. He has represented many public companies in initial public offerings, the SEC registration process, tender and exchange offers, reporting requirements, proxy disclosure issues, and anti-takeover strategies. He has advised investment-banking firms on underwriting, NASD matters, fairness opinions, and related regulatory compliance matters. Mr. DiPuccio has also counseled numerous companies and investors in a wide range of private financings, including private placements, angel funding, venture capital, and traditional bank lending. He also serves on Growth Capital's Servicing Committee and is active in academic and development efforts at his alma maters, Case Western Reserve University School of Law, where he is a member of the Dean's Advisory Council, and Gilmour Academy, a private Catholic college preparatory school in Cleveland. He participates in the Bildner Fellows Program in Law, Business, and Technology at CWRU's new Center for Law, Technology and the Arts. Mr. DiPuccio has tutored at-risk first graders in reading skills as part of the Cleveland Reads Programs, and is active as a youth athletics coach.
