Ashley specialises in all forms of public company fundraising work which includes advising on the Listing Rules for companies quoted on the Official List as well as advising companies seeking admission to AIM. In particular he has developed a reputation for the raising of finance for small to medium sized companies by way of placings, rights issues, offers for subscription and offers for sale as well as raising funds by way of private placing memoranda and investment memoranda. Ashley frequently advises brokers, nominated advisers and issuers themselves on AIM flotations and his clients include JM Finn & Co, Daniel Stewart & Company Plc and Seymour Pierce Limited. During the past 12 months Ashley has advised on eight AIM admissions and some seven secondary fundraisings. In addition, Ashley advises companies on Takeovers and Mergers and recently completed two offers for public companies as well as frequently advising on City Code issues. His AIM clients include YooMedia Plc, Top Ten Holdings Plc, Westside Acquisitions Plc, Jelf Group Plc, York Pharma Plc, Totally Plc, Sportingbet Plc and Red Squared Plc. Ashley is involved in all forms of corporate transactions and in particular advises on the sale and purchase of both companies and businesses. He is also experienced in corporate re-organisations including reduction of share capital and schemes of arrangement. Ashley frequently advises clients on joint venture arrangements including shareholders' subscription agreements together with all associated share rights. He also has a specialisation in the area of share option schemes including advising on employee benefit trusts, approved share schemes and the enterprise management incentives legislation. Ashley is an avid sportsman and keen supporter of Tottenham Hotspur Football Club. |
