Mr. Cleveland specializes in health care corporate transactions and finance. He has participated in structuring and implementing various hospital ventures, including development of numerous hospital/physician joint ventures throughout the Southeast, structuring managed care networks and integrated delivery systems, establishment of heart institutes, development of primary care strategies for hospitals, and obtaining private letter rulings from the Internal Revenue Service approving the implementation of multi-entity health care systems. In structuring such ventures, Mr. Cleveland provides particular expertise in evaluating tax-exemption and Medicare fraud and abuse principles.

Mr. Cleveland has participated in corporate restructurings of numerous major community hospitals in the Southeast, including three Georgia hospitals with 450, 350 and 300 beds, respectively; three Florida hospitals with 1,000, 900 and 500 beds, respectively; and a 400-bed hospital in Alabama. In addition, he has represented numerous restructured hospital systems in connection with litigation in both Georgia and Florida, which could impact various laws affecting restructured hospitals.

Mr. Cleveland also has been engaged in numerous tax-exempt bond financings for hospitals totaling in excess of $300,000,000.||In addition, Mr. Cleveland has background experience in general corporate transactions, including acquisitions, as well as general trial and appeallate litigation experience.
